Terms and Conditions.

1. Scope of Engagement & SOW Execution

All professional software development, consulting, cloud architecture, and maintenance services performed by Decodrz Technologies are governed by individual Statements of Work (SOW) or Master Services Agreements (MSA) executed between the client and Decodrz Technologies.

In the event of any conflict between general website informational text and an executed written SOW, the terms of the signed SOW shall take precedence.

2. Intellectual Property (IP) Ownership

Upon full settlement of all invoiced milestone amounts specified in the applicable Statement of Work, all custom bespoke software code, database schemas, graphic assets, and architectural documentation created specifically for the client transfer to the full, exclusive ownership of the client.

Decodrz Technologies retains ownership of its pre-existing general engineering libraries, boilerplates, and open-source tooling, which are licensed to the client on a perpetual, non-exclusive, royalty-free basis.

3. Warranties & Code Quality

Decodrz Technologies warrants that all delivered software complies with the functional specifications agreed in writing and has passed automated and manual QA regression suites. All project hand-offs include a standard 30-day post-launch warranty period during which critical defects attributable to our source code are resolved at zero additional charge.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Decodrz Technologies shall not be held liable for indirect, incidental, punitive, or consequential damages resulting from third-party cloud outages (AWS, GCP, Azure), client server misconfigurations, or unauthorized third-party intrusion beyond standard security controls.
